1. Introduction, scope, and consent
These terms (the "Terms") govern use of the WSSEL system, including the website, the customer application of the same name available on the Apple App Store and Google Play, the interface for restaurants, the interface for the company couriers, and every related service, component, update, or version (together, the "System"). The System is operated and owned by Waasel Labs Ltd. (ואאסל לאבס בע"מ), company no. 517353140 (the "Company").
The System lets private customers order food and related products from restaurants listed on it, lets restaurants receive, confirm, prepare, and manage orders, and lets couriers acting for the Company receive delivery tasks and update their performance. A "Customer" is a private person ordering for personal, household, or family use. A "Restaurant" is a business registered on the System that offers food and products through it. A "Company Courier" is a person or corporation approved by the Company to make deliveries on its behalf through the courier interface. A "User" is a Customer, a Restaurant, or a Company Courier, as applicable. A courier acting for a restaurant or an external delivery company does not use the courier interface, is not a User of the System, and receives only the information required to perform the delivery. In relations with the end Customer, and subject to what is shown in the System and to the law, the Company is the party contracting with the Customer for the order, the business registered with the payment provider, the party that receives payment from the Customer, and the payment beneficiary. Its name or trade name will appear in the charge description and in the transaction document. The Company is responsible toward the Customer for supply of the ordered product or service, including handling supply failure, cancellation, credit, refund, or compensation, as applicable and in accordance with the law, and it will provide customer service for inquiries, complaints, and clarifications. The payment provider supplies processing and clearing services only. It is not the seller of the food and is not a party to the consumer transaction. The Restaurant is responsible toward the Company for preparing the food, its quality, ingredients, packaging, and conformity to the order, without reducing the Company responsibility toward the Customer stated above.
Opening an account, downloading the application, or using the System confirms that the User has read, understood, and agreed to the Terms and the Privacy Policy. Before payment is completed, the Customer will be shown accessible links to the Terms, the Privacy Policy, and the cancellation and refund policy, and must mark an explicit confirmation box. The Company may keep a record of the approved document version, the time of approval, and the transaction details, for proof, service, fraud prevention, and legal compliance. If you do not agree to the Terms, do not open an account and do not use the System. Mandatory provisions of law and consumer rights that cannot be waived prevail over any conflicting provision in the Terms.
The Company may update the Terms from time to time. A material change will be brought to Users attention in a reasonable way and in accordance with the law. Continued use after the updated Terms take effect is agreement to them, except where the law requires further explicit consent.
A separate commercial agreement with the Company (the "Restaurant Agreement") may also apply to Restaurants, in addition to these Terms. These Terms govern general use of the System and relations with Customers. If these Terms conflict with the Restaurant Agreement in the relations between the Company and the Restaurant, the Restaurant Agreement prevails, unless a mandatory provision of law requires otherwise. This does not reduce the Customer rights under these Terms or under the law.
2. Eligibility, registration, and user account
Use of the System depends on opening an account and providing the details the System reasonably and customarily requests. A Customer will provide, among other things, a name, phone number, email address, delivery address, and the details required to pay by one of the payment methods supported in the System. If the Customer allows location access on the device, the System may use location data to suggest a delivery address, find relevant restaurants and services, and operate the delivery, as described in the Privacy Policy. A Restaurant will provide, among other things, the business name, proprietor or corporation number, address, contact details, details of an authorized representative, opening hours, service areas, menu, and information required about the food and prices. A Company Courier will provide, as applicable, a name, identity number or corporation details, contact details, account and settlement details, vehicle details and a driving license, insurance, and the permits and approvals required by law, and will pass reasonable identification, verification, and fitness checks by the Company.
The User states that all information provided is correct, complete, and current, and will update it without delay. The Company may ask for identity verification or documents, refuse registration, limit an account, or suspend it for reasonable reasons, including suspected fraud, a breach of law, a breach of the Terms, a security risk, or harm to other users.
The account is personal and cannot be transferred. The User is responsible for keeping login details confidential, for every action taken in the account, and for reporting unauthorized use immediately. A Restaurant is responsible for making sure that only its employees and authorized representatives use the restaurant interface with the appropriate permissions. A Company Courier will not transfer the account, device, or a delivery task to another person, will not let another person make a delivery in the courier place without Company approval, and will not photograph, store, transfer, or use customer details beyond what is required to perform the delivery. The Company may use additional authentication and security measures.
Age limit
Placing an order and making a purchase through the System is intended only for Customers aged 18 and over.
By placing an order and paying through the System, the Customer states and confirms that the Customer is at least 18 years old and is legally able to enter into the transaction.
A minor may use the System, other than to make a purchase or payment, only through a parent or guardian and under that person responsibility, where the law allows it.
In no case may a Customer or courier under 16 open an account or use the System. A Company Courier under 18 may use the System and make deliveries only where the law allows, subject to consent of a parent or guardian, completion of the required documents and approvals, and the safety and employment limits that apply. The Restaurant states that it is a business duly authorized by law and that the representative opening the account is authorized to bind it. A Company Courier that is a corporation states that it is duly incorporated and registered and that anyone acting for it is authorized and fit to make deliveries. An individual courier states that the courier is permitted and fit to make deliveries under the law.
3. How the System and orders work
The System may let the Customer enter an address manually or, with permission, use the device location to find a delivery address or area, show relevant restaurants and services, calculate availability and delivery cost, and operate the order. The Customer must make sure the displayed delivery address is correct before confirming the order.
The Customer chooses a restaurant, items, extras, a delivery address, and the available preferences, and submits an order through the System. Before confirmation, the Customer will see a summary of the items, quantities, total price, taxes where they apply, the delivery cost, and any additional charge that is allowed and was shown in advance. The final price payable includes the courier cost, unless something else is expressly stated before the order is completed.
Submitting an order request does not guarantee that it will be accepted. The request is sent to the Restaurant to check availability, and the Company may approve or reject it based on the Restaurant notice, opening hours, the delivery area, and reasonable operational circumstances. The transaction between the Company and the Customer is formed only after the Company sends the Customer an explicit order confirmation and, for a payment that is not in cash, after the payment is approved or the required credit limit is held. For a cash payment, the transaction is formed when the explicit order confirmation is sent to the Customer, and payment is collected when the order is delivered. Preparation and delivery times are estimates, unless a binding time was shown, and any material change will be brought to the Customer as soon as reasonably possible.
Delivery may be carried out, as shown to the Customer in the System for that order, by the Company delivery operation or a courier on its behalf, by the Restaurant or a courier on its behalf, or by a third-party delivery provider. The Company may assign or replace the delivery party for operational reasons, provided the Customer rights under the law are not harmed. The Company is responsible toward the Customer for coordinating the delivery service and for meeting its obligations about handing over the order, subject to the Terms and the law, even when it uses a Restaurant or a delivery provider. The delivery party is responsible toward the Company for collecting the order from the Restaurant, keeping it, transporting it reasonably, and delivering it to the address given. The Restaurant is responsible toward the Company for preparing the order, packaging it, and handing it to the delivery party in conformity with the order. The Company may pass to the Restaurant and the delivery party contact details, the delivery address, required location data, and essential instructions for performing the order, in accordance with the Privacy Policy and the law.
The Customer must give an accurate address, an available phone number, and proper access instructions, be available to receive the delivery, and check the order soon after receiving it. An error in the details, absence, failure to answer, or refusal of access may cause delay, a failed delivery, or a charge, according to the law and the circumstances.
Food photos are illustrative and reasonable differences may occur. The Restaurant will not replace an item without the Customer consent, unless the Customer chose in advance to allow a substitute. If an item is missing, the Restaurant will tell the Company without delay. The Company will remove the item, offer the Customer a substitute, or give a credit or refund, as applicable and in accordance with the law.
4. Prices and customer payment
Prices shown in the System are in New Israeli Shekels and include VAT where it applies, unless the law says otherwise. Before the order is completed, the Customer will see the total price payable, including the delivery cost. If an item price conflicts with the price in the order summary, the lawful price applies, and the Customer may choose not to complete the order.
Payment is made by one of the payment methods supported and shown in the System from time to time, including cash where that option is shown to the Customer before the order is completed. The Company, itself or through someone acting for it, is the party entitled to the total price, the party that instructs the charge, and the party that collects the payment. If cash is chosen, the Customer pays on delivery the total price approved in the System, including the delivery fee and any additional charge shown in advance, and the courier receives the payment for the Company and only as its agent. The Company, and not the courier, is responsible toward the Customer for arranging cancellation, non-delivery, a fault, a refund, or a dispute about an order paid or meant to be paid in cash, in accordance with the Terms and the law. For a payment that is not in cash, the charge may in practice be made through a payment provider, acquirer, card issuer, digital-wallet operator, or another financial party acting for the Company. Payment details are entered in the payment provider secure interface and processed in accordance with the law and the PCI DSS standard where it applies. The Company will not store full card details. At most it will store a secure token and transaction details that may be kept. The Company and the payment provider may carry out identity checks, stronger authentication including 3D Secure, fraud-prevention checks, a credit-limit hold, or a charge, where those measures are used in the transaction. The charge is made when the order is confirmed, or at another time shown to the Customer in advance. A credit-limit hold is not necessarily a final charge, and a technical payment approval is not a final confirmation of the order. The Company may cancel an order if payment is not approved or if there is a reasonable suspicion of fraud.
The Customer authorizes charging the payment method for the total price that was shown and approved. When the order is confirmed, the Company will send the Customer, by electronic means, a confirmation or transaction document that includes the Company name, number, and address, the order number, the products and services, the total price, the payment terms, the supply date or time range, and a contact channel for service. The Company is responsible for a credit or refund owed to the Customer and will instruct the relevant payment party to make it at the time and in the way set by law. As a rule the refund is made to the payment method used for the transaction, unless the law allows or requires another way. Where the law requires it and according to the structure of the transaction, the Company will issue and send the Customer an invoice, receipt, or other tax document for the amounts it collected, and in the case of a credit will issue a matching credit document. The Restaurant will issue to the Company the tax documents required in the settlement between them. If, for a particular part, it is expressly shown before payment that another party is the seller or the payment beneficiary, the identity of the document issuer and the refund method will be adjusted and shown to the Customer. Fees, settlement, and payments between the Company and the Restaurant are governed by the Restaurant Agreement.
If the System offers promotions, coupons, benefits, or credit balances, they are subject to the terms shown with them, their validity, their availability, and the law. They cannot be converted into cash or a cash credit unless the law requires it, and they cannot be combined unless stated otherwise.
5. Order cancellation, refunds, and faults
Cancellation of a transaction
A cancellation may be requested as long as the Restaurant has not started preparing the order, subject to the law and the terms below.
After the Restaurant has started preparing the order, and in particular where the food was prepared specially for the Customer or the product is perishable, it may not be possible to cancel the transaction or receive a refund, in accordance with the law.
If an order is not supplied, a product is defective or spoiled, an order is wrong, or it does not match what was ordered, the Company will handle the inquiry and give a credit, refund, or other remedy in accordance with the law.
A request to cancel an order must be sent to the Company without delay, with the Customer name and the order number, by one of the cancellation methods the Company must offer under the law and according to the contact details it provided: by phone or at the place of business, by email, and through a link or a dedicated option on the website or in the System, where a transaction can be made that way. Every cancellation, its timing, any cancellation fee, and the repayment that follows are subject to the Consumer Protection Law, 5741-1981, the regulations made under it, and any other mandatory law.
For food that was prepared, or whose preparation started, according to the order, for perishable food, or for a product that cannot be resold for health or hygiene reasons, the right to cancel because of a change of mind may be limited or may not apply, according to the law and the circumstances. Before preparation starts, the Company will allow cancellation where that is possible and no irreversible cost has been incurred, without reducing a cancellation right that exists under the law. This does not reduce the Customer right to cancel and receive repayment or a remedy for a defect, a mismatch, failure to supply at the agreed time, a wrong charge, misleading conduct, or another breach by the Company. If the Company or someone acting for it cannot complete the order, the Company will tell the Customer and refund the amount paid, or give a credit for parts that were not supplied, including the proportional part of the delivery fee. If the whole order is not supplied, the full delivery fee is also refunded, in accordance with the law. For the inquiry and the decision, the Company may rely on System data, payment records, information from the Restaurant and the delivery party, and any reasonable record the Customer provided.
For a missing or wrong order, a defective or spoiled item, a material mismatch, a wrong charge, a significant delay, non-delivery, or delivery to a wrong address that was not caused by details the Customer gave, the Customer should report it to the Company as soon as reasonably possible through the support channel, state the order number, and attach reasonable documentation the Customer has. The Company will look into the inquiry and give the remedy the Customer is entitled to under the law. Where the law lets the Company choose how to correct the matter, it may offer a reasonable and proportionate remedy, including completing or redelivering the order, a replacement, a partial credit, cancellation of the charge, a refund, or compensation, taking into account the nature and extent of the failure, whether it can be corrected, and the damage shown. For a missing or wrong item, at least a refund or cancellation of the charge for the item that was not supplied, or that was not supplied as ordered, will be given, unless the Customer agreed to another solution and received it. For non-delivery that is not the Customer fault, a full refund of the order and the delivery fee will be given. For a delay, the remedy follows the law, the length of the delay, the nature of the products, and the effect on the possibility of consuming them. A credit, refund, benefit, or service gesture beyond what the law requires is not an admission of liability, a precedent, or a waiver, provided that no remedy owed to the Customer under the law is reduced and that the same damage is not compensated twice.
If a delivery failure or cancellation was caused by a wrong address, the Customer not being available, not answering, refusing access, or asking for a late change, the Company may, subject to the law and the circumstances, charge reasonable costs already incurred or decline to refund amounts for food that was prepared and cannot be resold. Before a decision, delivery attempts, notices sent to the Customer, and the reasonable chance of reducing the damage will be taken into account.
If cancellation is due to a defect, a mismatch, failure to supply at the agreed time, or another breach by the Restaurant or the Company, no cancellation fee will be charged where the law forbids it. Nothing in this section reduces any right of cancellation, repayment, or compensation the law gives the Customer.
If there is a chargeback, suspected fraud, or a demand from an issuer, acquirer, payment provider, or competent authority, the Company may, subject to the law, ask for documents and clarifications, provide the evidence and transaction data needed for the inquiry, delay a credit that is not mandatory, cancel an order that has not yet been supplied, and take reasonable steps to reduce damage. The User will not make a false claim or file a chargeback for a transaction the User approved and received. Nothing here reduces the Customer rights under the Payment Services Law, the Consumer Protection Law, or any mandatory law.
6. User duties and conduct
The User will use the System in good faith, only for its purposes, and in accordance with the law. Among other things, it is forbidden to give false information, to impersonate, to place fictitious orders, to defraud or avoid payment, to harm another user, to upload content that is illegal, threatening, defamatory, or infringing, to harm the System or interfere with its operation, to use automated means to collect information, or to scan, mine, scrape, reverse engineer, bypass security, run penetration tests without approval, or try to gain unauthorized access.
The Restaurant will update orders on time, honor approved orders, keep inventory, prices, and the menu accurate, hold every license, permit, approval, and insurance required to operate a food business, and give the Company and the Customer, through the System, complete and current information about ingredients, allergens, kashrut, availability, and special instructions. The Restaurant will prepare, package, and hand over the order in accordance with the order and the law, keep a reasonable record of preparation and handover, report to the Company without delay any shortage, delay, fault, safety concern, or complaint, and cooperate fully in inquiries about complaints, cancellations, credits, refunds, compensation, and chargebacks. The Restaurant will protect customer details and use them only to perform the order and for purposes the law allows. The Restaurant Agreement governs chargebacks and refunds, set-off, withholding of payments, recourse, indemnity, insurance, confidentiality, information security, rights in content, audit, the ban on bypassing the System, suspension, and termination.
If the System allows a rating or feedback, the Customer will use it in good faith, in appropriate language, and based on personal experience, and will not use it in a misleading, offensive, or illegal way.
The Company may act for security, fraud prevention, operation, and enforcement. It may remove content, limit actions, cancel orders, freeze or close an account, and report to a competent authority if there is a reasonable suspicion of a breach, a risk, or a legal duty, while taking proportionate measures and acting in accordance with the law.
7. Intellectual property and license
All rights in the System and its content, including software, code, databases, design, interface, graphics, text, trademarks, trade names, algorithms, trade secrets, and documentation, belong to the Company or its licensors. The Terms do not transfer any ownership right to the User.
Subject to these Terms, the Company gives the User a limited, personal, revocable, non-exclusive license, which cannot be transferred or sublicensed, to use the System only for its purposes. A Restaurant receives a limited business license to use the restaurant interface only to receive and manage orders.
The User gives the Company a non-exclusive, worldwide, royalty-free license to store, collect, process, adapt, and display information and content the User provided, in accordance with the Privacy Policy and applicable law.
8. Privacy and information security
Personal information is collected and used in accordance with the Company Privacy Policy, which is an integral part of these Terms, and in accordance with applicable law. To perform an order, verify an address and service area, show relevant restaurants and services, and operate delivery, the Company may collect and process, subject to the User permissions and the law, a delivery address, the precise or approximate location of the device, and location data derived during use. The Company may pass to the Restaurant, a courier acting for it, payment providers, acquirers, issuers, digital-wallet operators, identity and fraud-prevention providers, and necessary service providers the information required to perform a transaction, verify identity, charge, credit, look into a chargeback, secure the service, deliver, and comply with the law, including name, phone number, delivery address, required location data, order details, instructions, transaction data, and payment tokens. Sensitive payment information is processed in the payment provider environment. Transaction data and payment tokens may be kept for the periods required by law, accounting, legal defense, and fraud prevention. The Privacy Policy describes the collection and processing actually used, including cookies, software components, and transfers of information outside Israel where they are used, and also the purposes of processing, retention periods, types of recipients, user rights, and how location permissions are managed.
The Company uses accepted and reasonable security measures, but the System is not completely immune. The User will protect the device, the account, and the login details, keep software updated, not share verification codes, and report a security incident immediately. The Restaurant will keep personal information confidential, limit access to it, and will not store or use it beyond what is required and allowed by law.
Operational messages, including an order confirmation, status, a verification code, and service updates, are part of the service. Marketing messages are sent only in accordance with the law and the required consent, and consent can be withdrawn in the way shown in the message or in the System.
9. Availability, third-party services, and updates
The System is provided as it is and as it is available. The Company may maintain, update, change, or stop components, restaurants, service areas, or payment methods, temporarily or permanently, subject to the law and to completing approved orders or giving an alternative remedy where required. There may be faults, heavy load, communication outages, GPS disruption, or failures of cloud, clearing, communications, app-store, and other third-party providers. The Company will take reasonable steps to reduce the disruption and to handle orders that were affected. Its responsibility for such a disruption is subject to section 10 and the law, without reducing the Customer right to repayment, a credit, or a refund owed for a product or service that was not supplied.
Use of the application may also be subject to the Apple or Google terms that apply to the store and the device. The Company, not the store operator, is responsible for the application to the extent the law requires. Links and services of third parties are provided for convenience only, and use of them is subject to their own terms.
10. Company responsibility and its limits
The Company is the party contracting with the Customer for the order, the seller, and the payment beneficiary, and it is responsible toward the Customer for performing the transaction and for supplying the ordered product or service in accordance with the Terms and the law. To meet its obligations, the Company may use restaurants, couriers, delivery providers, and other service providers. That use does not reduce liability toward the Customer that cannot be waived.
Product responsibility
Product responsibility
The Restaurant that supplies the order is responsible toward the Company for the quality, freshness, and safety of the food and products, their ingredients, allergens, kashrut, preparation, packaging, and conformity to the order.
WSSEL does not itself prepare or manufacture the food. It operates the System through which the order is placed.
Nothing here reduces WSSEL responsibility toward the Customer under the law, including handling inquiries, cancellations, credits, and refunds in the appropriate cases.
The Company will act with reasonable skill and care and will take reasonable measures, according to the circumstances, to coordinate preparation of the order through the Restaurant, handover through the delivery party, customer service, and handling of inquiries, complaints, failures, cancellations, credits, refunds, and compensation.
Unless the law requires a particular result, the Company obligations about preparation and delivery times, item availability, and actions that depend on the Restaurant, the courier, the Customer, communications infrastructure, or an outside provider are obligations to use reasonable efforts, not a promise of a result or an exact time. The Company does not itself prepare or package the food, unless stated otherwise. The Restaurant is responsible toward the Company for preparing the food and for its quality, ingredients, safety, kashrut, packaging, and conformity to the order. Each delivery party is responsible toward the Company for performing its role. This does not reduce Company liability toward the Customer that cannot be waived.
Without reducing the Company liability under the law, the Customer should check the order soon after receiving it and tell the Company about a defect, a shortage, a mismatch, a wrong charge, a delay, or another failure as soon as reasonably possible, through the support channel, with the order number and reasonable documentation the Customer has. The Company may receive information from the Restaurant and the delivery party in order to look into the inquiry. These provisions are not a condition for using a mandatory right and do not put on the Customer a burden of proof beyond what the law sets.
The Company will give the Customer the remedy owed under the law and the Terms. Only where the law does not give the Customer a right to choose a particular remedy may the Company choose a reasonable and proportionate solution from completion, a credit, a refund, or compensation, taking into account the nature and extent of the failure.
A credit, refund, benefit, or service gesture beyond what the law strictly requires is not an admission of liability, a precedent, or a waiver of a claim. The Company is not responsible for damage caused, in whole or in part, by an act or omission of the Customer, including wrong or missing information, an inaccurate address or access instructions, not being available, not answering, use contrary to instructions, failure to give material information about a sensitivity or allergy, or failure to take reasonable steps to reduce damage. Where the Company is responsible, that responsibility is reduced according to the Customer contribution to the damage and subject to the law.
The Company is not responsible for a delay or failure caused by an event outside its reasonable control whose results could not have been prevented or reduced by reasonable means. An act or omission of a restaurant, courier, delivery provider, or service provider used by the Company does not reduce the Customer right to the remedy owed under the law. This does not reduce the Company rights against that party under their agreements or under the law.
The Company will handle every inquiry about the quality or safety of the food, its ingredients or allergens, kashrut, packaging, conformity to the order, a delay, non-delivery, or another failure, and will give the Customer the required remedy in accordance with the law, including a credit, a refund, or compensation, as applicable.
Without reducing the Company liability, or a remedy the Customer has under the Consumer Protection Law or another mandatory law, the Company and its representatives are not liable for indirect, consequential, special, or remote damage, to the extent such an exclusion is allowed in the circumstances. This does not reduce a right to repayment, cancellation of a charge, a credit, a refund, statutory compensation, compensation for direct damage caused by a breach of duty, or any liability that cannot be excluded, including liability for bodily injury. The Customer duty to reduce damage, and shared fault, apply only as the law provides.
Where the law allows a particular liability of the Company to be limited, the combined liability of the Company, its officers, employees, shareholders, related companies, and representatives, together, for any claim or group of claims arising from the same event or related to it, for direct damage connected to an order, will not exceed the amount the Customer actually paid for that order. The same damage will not be repaid or compensated twice, and any amount already refunded, credited, or paid for that event will be taken into account. This cap does not apply to repayment or refund of amounts collected unlawfully, to a refund or credit owed under the law, to statutory compensation owed to the Customer that cannot be limited, to bodily injury for which the Company is responsible, or to other liability that cannot be limited. Every claim is examined according to the circumstances of that order, the available evidence, causation, whether the damage was foreseeable, the duty to reduce damage, and shared fault, where relevant and allowed by law. Between the Company and the Restaurant and service providers, the allocation of responsibility, indemnity, insurance, set-off, lien, and liability caps in their agreements apply. Those arrangements do not give the Customer an extra right and do not reduce the Company liability or the Customer rights under these Terms or the law. Every limit in this section applies only to the maximum extent the law allows. If part of it cannot be enforced, it will be adjusted to the maximum enforceable extent without affecting the rest of the section.
11. Indemnity
A User who is not a consumer, including a Restaurant, will indemnify the Company, related companies, and their representatives, promptly on a reasonable demand, for any damage, charge, credit, refund, compensation, fine, expense, or claim of a Customer, an authority, or a third party, including reasonable legal expenses, caused by that User act or omission, a breach of the Terms, the Restaurant Agreement, or the law, information or content that User provided, infringement of rights, a defect, a shortage, a mismatch, an allergen, a safety defect, packaging, specific food or a specific service, cancellation, non-delivery, a chargeback, or unauthorized use of the System. The indemnity also applies where the Company gave the Customer a remedy because of its responsibility toward the Customer, to the extent the liability comes from an act or omission of that User. The Company will give notice of a claim and let the relevant User take part in the defense, subject to the Company reasonable control of the proceeding and its right to take urgent action to protect its customers, reputation, or rights.
A Customer will indemnify the Company only to the extent the law allows, and only for direct damage caused by an intentional act, fraud, misuse, or a material breach by the Customer. This section does not reduce the Company duty to limit damage and does not put on a consumer any liability the law does not allow.
12. Suspension, closing an account, and ending use
A User may stop using the System and ask to close the account, subject to completing existing orders, payments, and obligations, and to keeping information the law requires. Deleting the application does not cancel an order and does not close an account.
The Company may suspend or close an account, cancel a license to use, or refuse service, with reasonable notice where possible, in the case of a breach, fraud, misuse, a safety or security risk, a demand by an authority, non-payment, harm to reputation, or a material operational need. In an urgent case the Company may act without prior notice. Provisions that by their nature are meant to continue after the end of use remain in effect.
13. Governing law, jurisdiction, and general terms
The laws of the State of Israel apply to the Terms. The competent courts under the law have jurisdiction. Without reducing mandatory consumer rights, in a dispute with a Restaurant or a business User only, the competent courts in the Tel Aviv-Jaffa district have local jurisdiction.
The Terms and the Privacy Policy are the entire agreement on use of the System in relations with the Customer. Between the Company and the Restaurant, the Restaurant Agreement also applies. If it conflicts with these Terms, the Restaurant Agreement prevails where the matter concerns the commercial relations between those parties and does not harm the Customer rights or a mandatory provision of law. Not enforcing a right is not a waiver. If a provision is invalid, it will be removed to the maximum extent allowed and the other provisions stay in effect. The Company may assign its rights and obligations as part of a restructuring, a sale of the business, or a transfer to a related party, provided mandatory rights are not harmed. The User may not assign rights without prior consent.
The Company is not responsible for a delay or failure caused by an event outside its reasonable control, including war, a state of emergency, an epidemic, a strike, a natural disaster, a nationwide fault, a cyberattack, a power outage, or an order of an authority, provided it acts reasonably to reduce the effect.
Headings are for convenience only. The singular includes the plural and the reverse, and the masculine includes every gender.
14. Contact and complaints
Company details: Waasel Labs Ltd. (ואאסל לאבס בע"מ), company no. 517353140. Mail address and service and cancellation email: cs@wssel.app. Service and cancellation phone: 0776051288. Online cancellation link: wssel.app/support. Response hours: 9:00–18:00. The Company exclusive address is the address stated above.
The Customer will contact the Company with any question, support request, problem report, complaint, clarification, cancellation request, credit, refund, compensation, or use of a legal right connected to an order, even if a Restaurant or another service provider prepared or delivered it. In an inquiry it is best to give a name, order number, contact details, and a description, and to attach reasonable documentation the Customer has. This does not reduce a right that, under the law, does not depend on those details.
The Company will handle inquiries within a reasonable time and in accordance with the law, and may pass the required information to the Restaurant, the delivery party, or another service provider so the matter can be checked and handled. The details in this section will match the details shown in the System, in the transaction document, on the payment page, and in the Company account with the payment provider.
